1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Euri AI services ("Services"), including the Euri AI Agent, Euri AI Gateway, and all associated features provided by Euron ("Euri," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

2. Service Description

Euri AI provides access to artificial intelligence models for conversational AI, code assistance, image generation, and advanced reasoning through the Euri AI Agent. The Euri AI Gateway provides a unified API for accessing 200+ AI models. Additional features include health data integration, financial data tools, and companion AI experiences.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate information when creating your account and keep it up to date. You must be at least 18 years old to create an account and use our Services. You agree to notify us immediately of any unauthorized use of your account.

4. Health Feature Terms

4.1 Nature of Health Insights

Our health feature integrates with third-party wearable devices to provide wellness insights. The predictions generated by our system are based on statistical analysis of biometric data and published scientific research. However, these predictions:

• Have varying confidence levels and are probabilistic, not deterministic
• Are based on population-level research and may not apply to your individual circumstances
• Cannot account for medical conditions, medications, or other factors not captured by wearables
• Should be treated as wellness suggestions, not clinical guidance

4.2 Data Accuracy

We rely on data provided by third-party wearable devices and their APIs. We make no guarantees regarding the accuracy, completeness, or reliability of data from Oura, Fitbit, Withings, WHOOP, Polar, Strava, or any other connected device. Sensor accuracy, device placement, and environmental conditions can affect data quality. We are not responsible for errors in data collected by your wearable devices.

4.3 Consent Requirements

Before accessing health features, you must provide explicit, informed consent through our Health Data Privacy consent flow. You may revoke this consent at any time. Revoking consent will stop new data collection but previously collected data will be retained according to our data retention policy unless you specifically request deletion.

4.4 Prohibited Health Uses

You agree NOT to:

• Use health predictions to self-diagnose medical conditions
• Delay seeking professional medical attention based on Euri predictions
• Use our predictions for clinical decision-making
• Present Euri predictions as medical evidence
• Rely on our system in life-threatening or time-sensitive medical situations

5. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Services to generate harmful, illegal, or deceptive content
• Interfere with or disrupt the integrity or performance of our Services
• Reverse engineer, decompile, or attempt to extract the source code of our Services
• Use automated systems to access the Services in a manner that exceeds reasonable use
• Resell or redistribute our Services without written authorization

6. API & Gateway Terms

If you use the Euri AI Gateway API, additional terms apply:

• API keys are personal and must not be shared or exposed publicly
• You are responsible for all usage under your API keys
• Rate limits apply based on your subscription tier
• We reserve the right to revoke API keys that violate our terms or exhibit abusive behavior
• You must comply with the usage policies of underlying AI model providers

7. Subscription & Payment

Some features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. You authorize us to charge your selected payment method for recurring subscription fees. You may cancel your subscription at any time; however, refunds are provided only as required by law. We reserve the right to change pricing with 30 days' notice.

8. Intellectual Property

The Services, including all content, features, and functionality, are owned by Euron and are protected by intellectual property laws. You retain ownership of content you create using our Services, subject to our license to process and display it as part of providing the Services. AI-generated outputs are provided as-is; we do not claim ownership over content generated through our AI models for your use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EURI AI AND EURON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Health decisions made based on our wellness predictions or insights
• Inaccuracies in data from third-party wearable devices
• Loss of data or service interruptions
• Any actions taken or not taken based on information provided by our Services
• Unauthorized access to your account resulting from your failure to protect your credentials

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. HEALTH PREDICTIONS AND INSIGHTS ARE PROVIDED WITHOUT ANY WARRANTY OF MEDICAL ACCURACY OR CLINICAL VALIDITY.

11. Account Termination

You may delete your account at any time. Upon requesting account deletion, your account enters a 30-day grace period during which you can cancel the deletion. After the grace period, your data will be permanently deleted according to our data retention policy. We may suspend or terminate your account if you violate these Terms, with notice when reasonably possible.

12. Indemnification

You agree to indemnify, defend, and hold harmless Euri AI, Euron, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, violation of these Terms, or violation of any third-party rights.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration, except for claims that may be brought in small claims court.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. For changes affecting health data handling, we will provide at least 30 days' notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver. These Terms constitute the entire agreement between you and Euri AI regarding the Services and supersede any prior agreements.
